Seller Policy

This Seller Policy is part of the Watches.io (also referred to as the “Company” or “Watches”) Terms of Service and shall apply to all sellers of physical watches and some additional wording is included for selling/trading Vaulted Watches.


Watch Seller Requirements, Application and Approval

  1. Proven Track Record in the Watch Community:
    • Watches.io seeks experienced Sellers with a proven track record in the luxury watch community, demonstrated through a history of reputable transactions, positive reviews, and the facilitation of authentic transactions.
  2. Resale ID and Other Legal Documentation:
    • Prospective Sellers may be requested to provide a valid license or passport, an operative business address, company documents (if applicable), a valid resale certificate number and provide all other necessary documentation demonstrating authorization and capability to sell luxury watches. Watches.io may conduct additional background checks to verify the prospective Seller's identity, historical performance, reputation or any other customary verification checks, at its sole discretion with no notice to prospective Seller. Watches.io may reach out for referrals, opinions or feedback on prospective Sellers from other sources, dealers, and/or clients and Sellers unrelated to Watches.io.
  3. Application Process:
    • Interested sellers may initiate the application process by contacting concierge@watches.io or applying to list a watch on watches.io. The application process involves brief document or information submission, review and verification of any past transactions, and a holistic assessment of the prospective Seller's reputation in the watch community. Watches.io, due to the nature and stage of its business, reserves the right to deny access to listing to any dealer due to technical limitations or capacity restrictions.
    • Our vetting process at Watches.io is purposefully designed to ensure a positive user experience, encompassing fair pricing and the adherence to high-quality Seller practices.
  4. Watches.io's Discretion in Seller Approval and Participation in the Marketplace:
    • Watches.io reserves the right to
      • deny prospective Seller applications,
      • issue violation notices to Sellers or,
      • immediately remove Sellers from the platform at its sole discretion. Such decisions shall be based on various factors, including but not limited to, the Seller's adherence to Watches.io's standards, the quality of stewardship of the Seller, compliance with any legal requirements, and the overall integrity of the marketplace.
    • Watches.io's discretion to deny or remove Sellers is only exercised to protect the interests of the Watches.io community and to maintain the integrity of the marketplace.
  5. Continuous Monitoring and Compliance:
    • Approved Sellers are subject to continuous and/or periodic evaluation to ensure they continue to meet Watches.io's standards and policies.
  6. Seller Commitment to Upholding Watches.io Standards:
    • When applying to become a Seller, individuals pledge to uphold Watches.io's standards of quality and authenticity, thereby contributing to the integrity of the marketplace.

Guidelines for Photo Listings

  1. Sellers must provide clear photos (JPG, JPEG, PNG, or WEBP) showing the accurate present condition of the watch, including the box (if applicable), and papers (if applicable) in full view. Dark images and distracting backgrounds are to be avoided and will not be accepted. No personal information or any part of the human body should be included in photos. SHOULD ONLY INCLUDE THE WATCH AND ITS ASSOCIATED ACCESSORIES, NO PERSONAL INFORMATION AS THE COMPANY MAY CONSIDER IT AS SOLICITATION. PERSONAL INFORMATION OR HUMAN FLESH SHOULD NOT BE INCLUDED IN PHOTOS. IT IS IMPERATIVE THAT THE IMAGES SUBMITTED ACCURATELY REPRESENT THE CURRENT CONDITION OF THE WATCH, HIGHLIGHTING ANY DETAILS, SCRATCHES, BLEMISHES, CHIPS, DENTS OR IMPERFECTIONS. ALL SIGNS OF WEAR MUST CLEARLY BE VISIBLE. WATCHES.IO STRICTLY PROHIBITS THE EDITING, ADJUSTING OR ALTERING OF ORIGINAL IMAGES. BY LISTING A WATCH, THE Seller ACKNOWLEDGES AND AFFIRMS THAT THE PHOTOS SUBMITTED ARE A TRUE, ACCURATE AND COMPLETE REPRESENTATION OF THE WATCH'S PRESENT CURRENT CONDITION AND THE CONDITION RECEIVED FOR INSPECTION WHEN/IF SOLD. WATCHES.IO RESERVES THE RIGHT TO REQUEST REPLACEMENT PHOTOS TO APPROVE, OR REMOVE ANY PHOTOS OR LISTINGS DEEMED INAPPROPRIATE, INACCURATE, POOR-QUALITY, MISLEADING, OR FRAUDULENT.
  2. Seller Responsibility for Accurate Listings: Sellers are responsible for ensuring that all information in the listing is current and accurate. Material discrepancies between the listing, any uploaded photos, and the actual watch can lead to a failed inspection after an Order is made. Initiating a return of an Order is borne at the Seller's expense. Seller is responsible for all costs associated with a return of the watch due to any discrepancy in quality, condition, or representation of the watch.
  3. Once a listing is live, Seller is responsible for diligently monitoring and maintaining the accuracy of such listing. If a watch initially listed is no longer available for sale for any reason, Seller must promptly remove the listing from being active on the platform. This is a major factor playing into the quality of a Seller and constant maintenance of inventory is key to quality stewardship. Seller acknowledges and represents that all active listings posted have up-to-date and accurate information about the watch and its present condition, including the existence or use of any imitation or counterfeit components, parts, pieces, screws, links, pins, sapphire, or materials. Failure to: (i) disclose all relevant details of the watch (such as polishing or repairs previously done), (ii) promptly update or remove listings for watches no longer available may result in a violation notice or other disciplinary action, at the sole discretion of Watches.io. Sellers are required to actively manage their listings to maintain the integrity of the Watches platform. In addition, failure to adequately manage such listings may lead to being billed processing fees incurred by the Seller up to 20% of the funds in escrow.
  4. Listing items for Sale: Step-by-step instructions and guidance on how to list your watch may be provided on request by Watches.io.or assistance, reach out to concierge@watches.io .

Post-Sale Process for Watch Sellers

  1. Order Confirmation: Sellers have up to 24 hours immediately after a purchaser requests to purchase the watch (each an “Order”) to confirm the sale via the platform. Watches.io prefers even faster confirmation and reserves the right to adjust this time window to confirm at any time without written notice to the Seller. Delay or failure to confirm an Order can adversely affect the Seller's standing with Watches.io or turn into instant removal of Seller status on the platform. After confirmation of an Order, the Seller must immediately, and in no event more than 1 business day after an Order is confirmed, send the watch to Watches.io for physical inspection. The costs and logistics regarding shipping are at the sole responsibility of the Seller. Watches.io has no liability or responsibility for shipment failures, delays or damages. Detailed instructions and recommendations for shipping Orders can be found under “Shipping and Insurance Guidelines” below.
  2. Physical Inspection: Upon obtaining physical custody of the Order, Watches.io, through a certified watchmaker, will conduct a robust and thorough inspection of all parts of the watch, its components, internals, functionality and associated accessories. This inspection is crucial to verify the actual present condition, matching it to the images submitted by the Seller and the overall authenticity of the watch and all of its components as provided in the listing. The inspection process can take up to at least 2 business days.
  3. Outcomes of Inspection:
    • Passing Inspection: If the watch passes the inspection, one of two actions will occur depending on the type of sale:
      • Physical Watch Sale: The watch is shipped to the buyer within [2] business days via fully insured FedEx.
      • NFT Mint: The corresponding NFT is minted and sent to the buyer's address within [2] business days.
    • Failing Inspection: If the watch fails the inspection or is found to be counterfeit, or if it does not materially match the description originally provided in the listing, it shall be returned to the Seller. In such cases, the return shipping costs are borne by the Seller, which includes any shipping or administrative costs associated with initiating a return.
    • Costs for watches failing inspection: The Seller is responsible to prepay for costs associated to return the watch to the Seller. These costs may require paying shipping services, agents of the Seller, or watches.io directly in fiat, crypto or cash.
  4. Prompt Payout for Passing Inspection: Once a watch passes inspection, the payout to the Seller is processed within 1 business day, ensuring that Sellers promptly receive their earnings. Payouts are in USDC (USD Coin ERC-20) and/or USDT (USD Tether ERC-20) to the Watches.io Wallet or the Primary Wallet elected by the Seller.
  5. Direct Handover Option: Sellers who so choose, can opt to directly drop off an Order to the Watches.io's headquarters in Miami, Florida for a physical inspection to avoid shipping or insurance costs and facilitate a quicker and more secure transfer. It’s required that the Seller select physical delivery to the office in their Orders Dashboard and book an approved time slot to deliver the watch to Watches.io headquarters.

Order Cancellation and Fulfillment

  1. Order Cancellation: We strongly discourage Sellers from canceling orders. If a Seller cannot fulfill an order, they must decline it on the Order tab or notify Watches as soon as possible.
  2. Consequences of Cancellation or Incorrect Descriptions: Cancelled orders, incorrect fulfillments, or listings with inaccurate descriptions may result in a violation notice or removal from the platform. It is essential that the Seller provides an accurate, complete, and honest description of each watch. Inaccurate or deceitful descriptions not only lead to potential order cancellations but also directly affect the Seller's status and credibility on Watches.io.
  3. Impact on Seller Status:A single or repeated cancellation(s) or listing(s) with inaccurate or deceitful descriptions may lead to multiple violation notices or immediate suspension or removal from the platform, at the sole discretion of Watches.io.

Violation and Consequences Policy

  1. Sellers may incur violation notices before immediate suspension or removal from the platform. Violation notices may be incurred from delayed order acceptance, declining Orders without valid reason, poor management of listings resulting in orders for inexistent watches, inaccurately depicting the condition of a watch, selling counterfeit watches or watches with counterfeit components, or not adhering to Watches.io's policies, terms or conditions, among other reasons determined by Watches on a case-by-case basis.

Shipping and Insurance Guidelines

  1. SELLER BEARS FULL RESPONSIBILITY AND RISK OF LOSS FOR AN ORDER WHILE IT IS IN TRANSIT AND UNTIL THE ORDER IS IN THE PHYSICAL CUSTODY OF WATCHES.IO AT THE WATCHES.IO PREMISES. SELLER ALSO BEARS RESPONSIBILITY FOR THE CONDITION OF WHICH THE WATCH IS RECEIVED BY WATCHES.IO AND ANY DAMAGE THAT MAY HAVE BEEN INCURRED WHILE THE WATCH WAS IN TRANSIT. WATCHES.IO STRONGLY RECOMMENDS THAT EACH SELLER OBTAIN ADEQUATE SHIPPING INSURANCE WHEN SHIPPING A WATCH TO US.
  2. It is important for Sellers to adhere to best practices and follow all recommended packaging and shipping instructions provided by their respective shipping provider to ensure the safety and security of the Order during transit.
  3. Sellers are required to provide Watches.io with tracking information and any other necessary documentation in a timely manner to facilitate the smooth receipt and processing of a shipment to Watches.io.
  4. Watches.io maintains comprehensive insurance policies designed to protect watches once they are in Watches.io’s custody at the Watches.io premises. Our insurance coverage ensures that watches are protected against any potential loss, theft, or damage while in Watches.io's physical custody at the Watches.io premises.
  5. Watches.io has insurance coverage for any event to occur in the Watches.io headquarters for any individual incident and can provide proof of insurance to a Seller upon advance request.
  6. Watches.io maintains travelers insurance to protect watches in transit for any required and pre-approved authentication or repair of an Order.

Authentication and Verification Process

  1. Inspection by Certified Watchmakers: All watches sold on Watches.io are thoroughly inspected by certified watchmakers. This rigorous inspection process is designed to ensure the authenticity and quality of every watch sold on the platform.
  2. Importance of Authenticity: The Watches.io inspection process underscores Watches.io's commitment to authenticity and quality. By entrusting this task to skilled professionals, Watches.io maintains high standards and buyer confidence in every transaction.

STOLEN WATCHES

SELLING STOLEN WATCHES IS STRICTLY PROHIBITED ON WATCHES.IO. ANY SELLERS FOUND SELLING STOLEN WATCHES SHALL BE SUBJECT TO IMMEDIATE SUSPENSION AND ANY LEGAL CONSEQUENCES PURSUANT TO APPLICABLE LAW. [WATCHES.IO ENCOURAGES ALL USERS TO REPORT ANY SUSPICIOUS ACTIVITY OR INFORMATION RELATED TO STOLEN WATCHES TO FACILITATE A SAFE AND SECURE MARKETPLACE.]

In the event that, during the official Watches.io inspection process or subsequent to the completion of a sale, Watches.io identifies or determines that a watch is deemed stolen based on reputable sources, Watches.io will take prompt and appropriate actions in accordance with its policies and pursuant to applicable law. Such measures may include reporting the stolen watch to appropriate state authorities and/or initiating legal proceedings to seek any damages Watches.io has incurred. Watches.io is committed to cooperating fully with law enforcement agencies and will provide all necessary information to aid in the resolution of this matter. Additionally, Watches.io reserves the right to suspend or terminate the seller’s account involved in such a transaction immediately, without prior notice, and take any other appropriate actions to mitigate the impact of stolen items on the Watches.io platform.


Handling Counterfeit or Inauthentic Watches

Inspection and Verification:

  1. Every watch sold through Watches.io undergoes a rigorous inspection by certified watchmakers. This is to verify its authenticity and ensure it matches the description provided in the listing.

Repair and Restoration Policy

  1. Inspection and Verification: Each watch will undergo a thorough inspection process by our certified watchmakers to verify its authenticity and condition against the listing description.
  2. Repairing and Polishing: If during the inspection, the certified watchmaker determines that a watch requires minor repairs, polishing, or cleaning of up to $500 to match the listing description accurately or to meet our standards of authenticity, Watches.io reserves the right to proceed with completing such repairs or cleaning upon providing notice to the Seller and Buyer. The costs of such repairs and services will be borne by the Seller. These costs will be outlined upfront in writing to the Seller and payment for such services will be required before the total balance of the order is to be paid out to the Seller.
  3. Replacing Watch Components: In cases where a watch is found to have counterfeit parts, missing components (e.g., screws, bezels, or jewels), or damaged elements that materially affect the condition of the watch, Watches.io reserves the right to replace such parts with authentic components to ensure the watch's integrity and authenticity upon providing notice and consent from Seller and Buyer. These costs will be provided to the Seller and may affect the payout of the Seller.
  4. Charging the Seller: Watches.io reserves the right to charge the Seller for the costs associated with any repair, polishing, or replacement of parts necessary to bring the watch up to the condition described in the listing or to ensure its authenticity. This includes but is not limited to labor costs, parts, and any other expenses incurred during the restoration process. Seller shall be responsible for all such costs associated with any repair, polishing or replacement of parts.
  5. Notification to Seller: Sellers will be notified of the need for any such repairs, polishing, or replacements and the associated costs. Watches.io will seek acknowledgment and approval from the Seller in writing before proceeding with any actions that incur additional costs. Sellers will have up to [2] days to confirm a repair, polishing or replacement of parts. Delay or failure to respond to such inquiry may result in a cancellation of an Order.
  6. Consequences for Non-Compliance: Failure to comply with these policies, or refusal to cover the costs of necessary repairs or replacements, may result in the removal of listings, cancellation of orders, withholding of payments, limits on account privileges, and potential legal actions as outlined in the Consequences of Counterfeit Watches section below.

Consequences of Counterfeit Watches:

  1. If a watch is determined to be counterfeit, inauthentic, or materially different from the listing, Watches.io will take several actions in its sole discretion without notice to Seller:
    • Removal of Listings: Any or all listings from the Seller may be removed from Watches.io.
    • Cancellation of Orders: Pending orders from the Seller may be cancelled.
    • Withholding Payments: Payments due to the Seller for the transaction in question may be withheld or returned to the buyer.
    • Limits on Account: The Seller's buying and selling privileges on the platform may be limited, suspended or removed.
    • Charging for Costs and Expenses: The Seller may be charged for costs, expenses, and fees incurred by Watches.io and/or the buyer due to the Seller's acts or omissions in selling a counterfeit watch. This could include costs for replacement watches or components, the value of compensation provided by the buyer, any and all applicable credit card fees and other reasonably related fees.

Return of Counterfeit Items:

  1. Counterfeit watches may be shipped back to the Seller at the Seller's expense.

Legal and Disciplinary Actions:

  1. Watches.io reserves the right to provide counterfeit watches to law enforcement (if deemed necessary), or return such watches to Sellers. Sellers may be subject to violation notices and/or temporary or permanent suspension from the platform.
  2. In certain exceptional circumstances, Watches.io reserves the right to apply a service fee of up to 15% on the total transaction amount, which would be borne by the Seller.

Fraud Prevention and Monitoring:

  1. Watches.io employs fraud protection measures, including algorithms and automated systems, to monitor listings and orders for fraudulent activity.
  2. In case of any suspected errors or receipt of a wrongful violation or suspension, Sellers should contact concierge@watches.io.
  3. High-value transactions or high overall payment volumes may trigger requests for additional identification information from the Seller.

Seller Acknowledgement:

  1. By listing items on Watches.io, Sellers explicitly acknowledge and agree that the aforementioned remedies, including removal of listings, potential suspension and/or termination of Seller’s account and any associated actions, are warranted in cases of counterfeit or fraudulent items, even if such items were unknowingly counterfeit or fraudulent to Seller. Sellers bear strict liability for ensuring the authenticity of the items they list on the platform.

Seller Cooperation in Investigations:

  1. In the event of an investigation into counterfeit items, Sellers are expected to fully cooperate with Watches.io and any law enforcement agencies involved. Such cooperation may include providing all necessary information, documentation and assistance in facilitating a thorough and transparent inquiry. Seller shall use best efforts to be prompt and forthcoming in such investigation, as it is crucial to maintain the integrity of the Watches.io platform. Delay or failure to cooperate in any investigation may result in additional actions, including the removal of Seller’s listings, suspension and/or termination of Seller’s account and any associated actions to the foregoing.

Seller Account Management

  1. The impact of buyer experience and reasons for account suspension are outlined. Sellers must adhere to Watches.io's standards to maintain their account.

Fee Policy

  1. Fee Structure:
    • Watches.io uses a tiered fee structure for each accepted order, where an accepted order is one that has passed the inspection process and will proceed to a fulfilled transaction. The fees are automatically calculated and added to the List Price paid by the Buyer. The tiers are as follows:
      1. Tier 1: 0.5% of the listing price
      2. Tier 2: 2.5% of the listing price
      3. Tier 3: 3.75% of the listing price
  2. Fee Calculation Example:
    • In simple terms, excluding sales tax, consider a watch publicly listed for $10,050. The fee, calculated at 0.5% of the listing price (in this case, $10,000), amounts to $50. Thus, the buyer pays a total of $10,050, while the seller receives $10,000 in proceeds.
  3. Seller's Earnings:
    • Sellers must consider the Listing Fee when determining their listing price to ensure their desired earnings are met. The 0.5% fee is deducted from the total amount received from the buyer when the sale is completed.
  4. Transparency and Consistency:
    • The Listing Fee applies to all Sellers. Watches.io reserves the right to amend this fee policy and fee at any time and for any reason.

Withdrawals

  1. Deposit of Funds:
    • Upon the successful sale and inspection of a watch, the funds are deposited into the seller's primary selected wallet. Sellers can choose their primary wallet through the Wallet section of their account on Watches.io. This selection must be made at the time of listing the watch to ensure that the funds are transferred to the correct wallet address.
    • Sellers on the Watches.io platform can facilitate blockchain transactions using their own external wallet or the embedded Privy wallet. While it is not mandatory to use the Privy wallet, sellers must provide a valid wallet address at the time of listing a watch to ensure that funds are correctly deposited upon a successful sale and inspection.
  2. Seller Representations:
    • Seller represents that it is the sole owner or controller of any Privy digital wallet address that it provides for purposes of payment and that it will immediately update Watches.io of any desire to update such address for any reason; further, Seller waives any and all claims-related harms, damages and/or liability against Watches.io that may be caused by Watches.io sending/receiving funds to and from the last Privy digital wallet address that Seller uses on Watches.io for this purpose. Seller acknowledges and accepts that Seller may also be subject to any terms or conditions imposed by Privy related to the creation or use of a digital wallet address on Privy. It is the Seller's responsibility to stay informed about and comply with Privy's terms as it relates to interacting with Watches.io. Watches.io disclaims any liability for losses, damages, or disruptions from the use of any blockchain wallet provider. Further, Watches.io is not responsible for any actions or omissions, policies or performance of Privy or any other blockchain wallet provider.
    • Seller is fully-responsible for the management, custody, security or control of any funds paid related to a sold listing once Watches.io sends payment to Seller’s digital wallet address.
    • Seller represents that it has a sufficient understanding of digital assets, token storage mechanisms (such as token wallets) and blockchain technology to appreciate the risks of engaging with such digital assets, including potential hacks or security breaches that may occur for purposes of receiving payment in USDC, USDT or any other digital asset and/or interacting with the Watches platform.
  3. Risk and Liability:
    • Watches.io is not responsible for any losses incurred during the off-ramping process (i.e., transferring or converting funds out of the Watches.io platform).
    • Sellers should be aware of any external transaction fees, such as gas fees for blockchain transactions and/or fees charged by other third-party platforms or wallets if any. Such fees can vary and should be considered when listing items and planning withdrawals. The Seller is responsible for all associated gas, listing and blockchain fees.
  4. Considerations in Listing Prices:
    • Sellers are advised to account for potential external third-party fees in their listing prices. This foresight helps ensure that the net earnings from a sale align with the Seller's expectations after accounting for all applicable fees and expenses.
  5. Withdrawal Process:
    • Seller shall receive the total proceeds earned from each sale, less any applicable transaction or administrative fees promptly and in no event no later than 1 business day after the sold watch passes inspection and the escrow is released to the designated wallet address provided by the Seller.
    • Proceeds from each sale are paid in USDC (USD Coin) or USDT (USD Tether), a stable cryptocurrency pegged to the US dollar, offering a secure and efficient way to access earnings.
  6. Assistance and Support:
    • For any questions or assistance with the withdrawal process, Sellers are encouraged to contact concierge@watches.io.

Seller Verification Requirements

  1. Federal and state laws require collection of personal information for Seller verification. See our Privacy Policy for more information regarding the collection and use of your personal data. This information is used for order processing and account-related matters.

Tax Responsibilities

  1. Seller's Responsibility for Reporting:
    • Sellers are responsible for keeping track of all sales transactions and reporting any applicable income and expenses on their tax returns. This responsibility includes understanding and complying with local, state, and federal tax regulations.
  2. Collection of Taxes by Watches.io:
    • As a marketplace, Watches.io collects taxes on behalf of the Seller for physical watch sales only where money is held in escrow. Watches.io is NOT responsible for the collection of sales tax on peer-to-peer NFT Trading, NFT sales, or instances where Buyer payments are made directly to the Seller. We calculate the tax to be paid by the Buyer and then the buyer pays this amount in their purchase of a physical watch. We do not calculate taxes in the Buyer’s payment for NFTs. When the transaction of a physical watch is complete, we hold the applicable tax and remit this tax to the IRS on behalf of the Seller. We do not relay this tax to the Seller from escrow. This process is in accordance with relevant tax laws and regulations as a Marketplace Facilitator, and it helps simplify the tax obligations for Sellers.
    • The taxes collected by Watches.io are based on the transaction amount and are determined by the applicable tax rates in the jurisdiction of the buyer in the sale.
  3. Obligation to Consider Tax in Pricing:
    • Physical Watch: While Watches.io assists in the collection of taxes, it is important for Sellers to consider the impact of these taxes when setting their listing prices of physical watches. Please include taxes in thought, as tax is added to the final price calculation the Buyer pays for a physical watch. This will ensure that Sellers achieve a final price paid by Buyer consistent with the market for that watch. Taxes will be added in the checkout flow and not included in the list price. Therefore, the buyer will see the price of the watch increase when it comes time to pay.
    • NFT: Watches.io does not assist in the collection of taxes, it is important for Sellers to consider the impact of their taxable gains/losses, capital gains/losses and relevant sales taxes when setting their listing prices of NFTs. Please include what you will need to remit in tax, as tax is not added to the final price calculation of the List Price. This will ensure that Sellers achieve final proceeds consistent with what they want to receive from the sale. Taxes will not be added in the checkout flow and not included in the list price. Therefore, when it comes time to pay, the buyer will see the price of the watch stay the same.
  4. Consultation with Tax Advisors:
    • SELLERS ARE STRONGLY ADVISED TO CONSULT WITH THEIR OWN TAX OR LEGAL ADVISORS TO ENSURE COMPLIANCE WITH ALL APPLICABLE TAX LAWS AND REQUIREMENTS AND TO UNDERSTAND HOW THE MARKETPLACE'S TAX COLLECTION AND NFT SALES AFFECTS THEIR INDIVIDUAL TAX OBLIGATIONS.
  5.
